HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.  IN NO EVENT WILL THE COLLECTIVE LIABILITY OF ENDO CUSTOMS, INC. AND ITS SUBSIDIARIES, AFFILIATES, LICENSORS, SERVICE PROVIDERS, CONTENT PROVIDERS, EMPLOYEES, AGENTS, OFFICERS, AND DIRECTORS, TO ANY PARTY (REGARDLESS IF THE FORM OF ACTION, WHETHER IN CONTRACT, TORT, OR OTHERWISE) EXCEEDS THE AMOUNT YOU HAVE PAID TO ENDO CUSTOMS, INC. FOR THE SERVICE OUT OF WHICH LIABILITY AROSE WHICH IN THIS CASE IS THE MANUFACTURE AND SALE OF THE PRODUCT.

 

INDEMNITY

You will indemnify and hold Endo Customs, Inc., its subsidiaries, affiliates, licensors, content providers, service providers, employees, agents, officers, directors, and contractors (the "Indemnified Parties") harmless from any breach of these Terms of Use by you, including any use of content other than as expressly authorized in these Terms of Use.  You agree that the Indemnified Parties have no liability in connection with any such breach or unauthorized use, and you agree to indemnify any and all resulting loss, damages, judgements, awards, costs, expenses, and attorneys' fees of the Indemnified Parties in connection therewith.  You will also indemnify and hold the Indemnified Parties harmless from and against any claims brought by third parties arising out of your use of the information accessed from this site.

 

GENERAL PROVISIONS

ENTIRE AGREEMENT.  This Agreement supersedes any and all agreements, either oral or in writing, between the parties hereto with respect to the rendering of services by Endo Customs, Inc. and contains all of the covenants and agreements between the parties with respect to the rendering of such services in any manner whatsoever.  Each party to this Agreement acknowledges that no representations, inducements, promises, or agreements, orally or otherwise, have been made by any party, or anyone acting on behalf of any party, which is not embodied herein, and that no other agreement, statement, or promise not contained in this Agreement shall be valid or binding.

GOVERNING LAW.  This Agreement shall be governed by and construed in accordance with the laws of the state of California.

VENUE.  You specifically consent to personal jurisdiction in California in connection with any dispute between you and Endo Customs, Inc. arising out of these Terms of Use or pertaining to the subject matter hereof.  The parties to these Terms of Use will be in state and federal courts in the city closes to Los Angeles.

ARBITRATION.  Any controversy between the parties hereto arising of or in connection with this Agreement will be submitted and resolved exclusively by confidential and binding arbitration.  The arbitration will be initiated and conducted in Los Angeles, California and comply with and be governed by provisions of the arbitration service selected by the parties at that time, or if the parties cannot agree, in accordance with the Streamlined Arbitration Rules and Procedures of JAMS (www.jamsadr.com), to the extent not inconsistent with this Agreement.

ATTORNEYS' FEES.  If any action at law or in equity, including an action for declaratory relief, is brought to enforce or interpret the terms of this Agreement, the prevailing party shall be entitled to reasonable attorneys' fees, which may be set by the court in the same action or in a separate action brought for that purpose, in addition to any other relief to which that party may be entitled.

HEADINGS.  The headings in this Agreement are inserted for convenience only and shall not be used to define, limit of describe the scope of this Agreement or any of the obligations herein.

SEVERABILITY.  If a court or an arbitrator of competent jurisdiction holds any provision of this Agreement to be illegal, unenforceable, or invalid in a whole or in part for any reason, the validity and enforceability of the remaining provisions or portions of them, will not be affected.

WAIVER.  The failure of a party to insist upon strict adherence to any term of this Agreement on any occasion shall not be considered a waiver thereof or deprive that party of the right thereafter to insist upon strict adherence to that term or any other term of this Agreement.

COMMUNICATIONS.  By emailing us you are using an electronic format.  This allows us to communicate with you in the same electronic format.  With this, both parties (you the customer and us the website) mutually agree that any contracts, agreements, disclosures or notices, or any other communication that is provided to you by Endo Customs, Inc. satisfies all legal notification requirements.

FORCE MAJEURE.  Endo Customs, Inc. will not be liable for any delay, interruption or failure in the provisioning of services if caused by acts of God, declared, or undeclared war, fire, flood, storm, slide, earthquake, power failure, the inability to obtain equipment, supplies or other facilities that are not caused by a failure to pay, labor disputes, or other similar events beyond the company's control that may prevent or delay of service provisioning.
